The Sarbanes-Oxley Act skirts the real problem: Corporations continue to pilfer America's savings to fund every dime of stock compensation. The diluted shares may belong to a pension plan, a mutual fund, or a 401K. Executive comp has debilitated the middle class as we are cleaved into Haves and Have-Nots; Boomer's retirements have been downsized; Tax cuts protect this lucre; SS private accounts would provide additional exposure to this embezzlement scheme.
